Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Qazana Systems Ltd ("Soniq8", "we", "us"), registered in Kenya, governing your use of soniq8.com and the Soniq8 Live mobile app (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) to use the Service. By using it, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. The Service

Soniq8 identifies songs in DJ mixes, live sets, and compilations - from YouTube URLs you submit on the web, and from your device's microphone in real time in the Soniq8 Live app - and returns tracklists and setlists. The Service is provided for personal, informational use.

3. Your account

You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate information and keep it up to date. Notify us promptly of any unauthorized use. You may delete your account at any time (see our Account Deletion page).

4. Credits, payments, and refunds

Some features use credits, which scale with length of audio analyzed. Credits are purchased through our payment provider, Paystack, and are consumed as you use the Service. Except where required by applicable law, purchased credits are non-refundable, are not exchangeable for cash, and expire as stated at the time of purchase or where your account is closed. We may change pricing or credit costs prospectively; changes do not affect credits you have already purchased. If we ever offer auto-renewing subscriptions, the renewal terms, price, and cancellation method will be clearly disclosed before you purchase, and purchases made through the Apple App Store will be billed and managed through your Apple account.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in violation of any third party's rights;
  • submit content you do not have the right to submit, or use the Service to infringe copyright or other intellectual-property rights;
  • violate the terms of any connected third-party service (including YouTube, Spotify, and Google);
  • attempt to disrupt, overload, reverse-engineer, scrape, or gain unauthorized access to the Service;
  • resell or commercially exploit the Service without our written permission.

You are solely responsible for the URLs, audio, and other content you submit, and for your compliance with applicable law.

6. Intellectual property

The Service, including its software, design, and branding, is owned by Qazana Systems Ltd and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of the content you submit and the history tied to your account. Song titles, artist names, and related metadata are provided by third-party catalogs and belong to their respective owners.

7. Third-party services

The Service integrates with third parties including YouTube, Spotify, Google, and Paystack. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

8. Accuracy disclaimer

Song identification depends on audio quality and the catalogs we search. We do not guarantee that results will be complete, accurate, or available for any particular recording. Results are provided for your personal reference only.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Qazana Systems Ltd and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of or inability to use the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or USD 50. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Qazana Systems Ltd from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms or any law or third-party right.

12. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. On termination, your data is deleted in accordance with our Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of Kenya, without regard to conflict-of-laws rules. The courts of Kenya have exclusive jurisdiction over any dispute, except where mandatory consumer-protection law in your country of residence provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "last updated" date and, where required, notify you. Your continued use after changes take effect constitutes acceptance.

15. Apple App Store

If you download the Soniq8 Live app from the Apple App Store, the following also applies:

  • These Terms are between you and Qazana Systems Ltd only, not with Apple. Apple is not responsible for the app or its content.
  • Apple has no obligation to provide any maintenance or support for the app.
  • To the maximum extent permitted by law, Apple has no warranty obligation for the app, and any claims relating to the app are our responsibility, not Apple's.
  • Apple is not responsible for addressing any claims by you or a third party relating to the app, including product-liability, legal/regulatory, or intellectual-property claims.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting", and that you are not on any U.S. Government restricted-party list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
